Code of Ethics and Conduct

 

The Group made up of Capital Energy Holco, S.L.U and its subsidiary companies (hereinafter, the “Group” or the “Capital Energy Group”), one of which is Capital Energy, S.L., are committed to complying with and adopting the principles and values that ensure the application of ethics and integrity standards in its actions and those of its collaborators. Therefore, amongst other measures, the Group has approved a Code of Ethics and Conduct which is applicable to all the people making up the Capital Energy Group, and a Code of Ethics for Suppliers that includes the minimum ethics commitments to which the main suppliers providing services to Group companies must sign up.

Furthermore, the Group has created a proper control framework to ensure compliance with the Code, based on a set of policies and procedures that develop the principles set out in the aforementioned Codes and that show its commitment to strict compliance with the law.

The ethical principles are Capital Energy Group’s values and principles for action in each one of its areas of influence, highlights of which are as follows:

-  Commitment to our customers and shareholders: the Group has the vocation of being the first 100% renewable utility and to be the largest on the market. To do so, it is necessary to be close and listen to the consumer and other market agents and anticipate their needs;

-  Commitment to innovation and technological development: our brand is committed to leadership in the renewable energy sector and, therefore, studies, analyses and uses the latest technologies in our field;

-  Legal compliance: the Capital Energy Group is committed to rigorous legal compliance and consistently ensures that it maintains an irreproachable ethical and legal attitude;

-  Environmental protection: conservation of the environment and sustainable development within the framework of all the Group’s activities stand as the organisation’s fundamental objectives;

-  Human Capital: we engage in equal opportunities for the growth of our personnel, we protect their privacy and do not tolerate any abuse or discrimination, demonstrating our firm commitment to gender equality. We retain our talent by putting work/life balance and performance recognition policies in place;

-  Commitment to the Community and its development: the Group is committed to the communities in which it operates, ensuring their social well-being and economic progress;

-  Transparency and integrity in financial information: both in compliance with tax obligations and accounting principles.

The Code of Ethics and Conduct rules must be followed by all Capital Energy Group’s personnel. The following are noteworthy:

-  Respect and faithfully comply with all applicable laws and regulations when performing their activity, refraining from any conduct that may damage the organisation’s image and reputation;

-  Keep confidentiality and take the necessary measures to protect confidential information;

-  Abstain from any conduct or activity that causes a direct or indirect conflict of interest, in accordance with the provisions of the Company Conflicts of Interest and Inside Information Policy;

-  They shall ensure fair, transparent treatment of their suppliers and third-party collaborators;

-  Carry out their activity with respect and protection of the environment, complying, as a minimum, with the requirements provided for in applicable environmental legislation, minimising the impact their activities may have and encouraging actions that promote greater environmental responsibility.

Furthermore, Capital Energy requires that its main suppliers commit to maintaining ethical conduct in all their business transactions, particularly when they act for, or in the name of, Capital Energy. To do so, they must follow the following conduct guidelines, amongst others:

-  Legal compliance and upright professional conduct in the performance of their activity;

-  Fight against corruption: Capital Energy has demonstrated a firm commitment and determination to eradicate corruption, in any of its forms, and in its entire sphere of operations. This is particularly applicable to its relationship with its suppliers;

-  Working conditions: Capital Energy expects its suppliers to promote equal rights and opportunities and to fight against any form of discrimination, as well as applying the workplace safety and work/life balance policies with the utmost rigour, and to act firmly against possible disclosures of confidential information or breach of personal and family privacy;

-      Environmental protection: Environmental conservation and  sustainable development are among the guiding principles of the Group’s internal policy, which means it demands the same commitment from its suppliers.

-      Corporate image and reputation: Suppliers will protect the Capital Energy Group's image and reputation in performing their activities as they are a fundamental value for creating and maintaining customer and market trust.

-      Confidentiality: All Capital Energy suppliers are subject to the duty to confidentiality and will take such measures as are necessary to protect confidential information, from the Group and from third-party businesses, which they get to know about within the scope of their business relationship.

Whistleblowing Channel:

The Capital Energy Group has enabled a specific channel for whistleblowing purposes that is available to all employees and collaborators via the following e-mail addresses:

The claims channel allows anonymous communications, although we encourage identification for better management and resolution of the matter.

Reports will be treated as strictly confidential and there will be no adverse consequences for making a report, as long as this has been made in good faith.
